ORGANIZATIONAL CONSULTING AGREEMENT

1. Purpose of This Agreement

This Organizational Consulting Agreement outlines the expectations, boundaries, responsibilities, and ethical commitments between PranaCare Ltd (“the Consultant”) and the organization (“the Client”).
It ensures clarity, professionalism, confidentiality, and alignment with Canadian consulting standards, leadership ethics, and conflict‑resolution best practices.
By engaging PranaCare Ltd, the organization agrees to the terms below.

2. Nature of Organizational Consulting

Organizational consulting at PranaCare Ltd is:
  • Strategic
  • Human‑centered
  • Trauma‑informed
  • Culturally intelligent
  • Systems‑aware
  • Evidence‑informed
Consulting may include:
  • Leadership development
  • Organizational culture analysis
  • Conflict‑resolution support
  • Team communication improvement
  • Values and identity alignment
  • Executive clarity work
  • Change‑readiness assessment
  • Strategic facilitation
  • Workshops and training
  • Mediation‑informed processes

Organizational consulting is not:

  • Therapy
  • Counselling
  • Legal advice
  • HR investigations
  • Crisis intervention
  • Arbitration or formal mediation
  • A guarantee of specific outcomes

3. Scope of Work

The scope of work will be defined collaboratively and may include:
  • Assessment and discovery
  • Interviews or focus groups
  • Leadership coaching
  • Team workshops
  • Culture mapping
  • Conflict‑resolution support
  • Strategic recommendations
  • Implementation guidance
Scope may be documented in:
  • A proposal
  • A statement of work
  • A project outline
  • A service agreement
Changes to scope require written approval.

4. Roles & Responsibilities

Consultant Responsibilities

PranaCare Ltd agrees to:
  • Provide professional, ethical consulting services
  • Maintain confidentiality within legal limits
  • Offer culturally intelligent and trauma‑informed support
  • Deliver clear recommendations and insights
  • Maintain professional boundaries
  • Communicate progress and expectations
  • Refer to other professionals when appropriate

Organizational Responsibilities

The organization agrees to:
  • Provide accurate information
  • Ensure access to relevant personnel
  • Communicate needs and concerns
  • Support implementation of recommendations
  • Maintain internal confidentiality
  • Respect boundaries and timelines
  • Pay fees according to the Payment & Refund Policy
  • Ensure psychological safety for participants

5. Confidentiality

PranaCare Ltd maintains confidentiality according to Alberta’s PIPA and professional ethics.

Confidentiality applies to:

  • Interviews
  • Assessments
  • Internal discussions
  • Leadership coaching
  • Team sessions
  • Reports and recommendations

Confidentiality does not apply when:

  • There is intent to harm self
  • There is intent to harm others
  • There is abuse or neglect of a child or vulnerable person
  • There is ongoing or planned criminal activity
  • A court order requires disclosure
  • Organizational leadership requires information essential for safety or operations (discussed in advance)

6. Communication

Communication may occur through:
  • Email
  • Scheduled calls
  • Virtual meetings
  • In‑person sessions
  • Secure platforms
Consulting support is not provided through social media or text messaging. See the Social Media & Communication Policy.

7. Fees & Payment

Fees are outlined in the proposal or service agreement.
Payment terms follow the Payment & Refund Policy.
Invoices may include:
  • Hourly consulting
  • Project‑based fees
  • Workshops
  • Travel (if applicable)
  • Materials or assessments
Late payments may result in paused services.

8. Cancellation & Rescheduling

Organizations must provide at least 72 hours’ notice to cancel or reschedule consulting sessions, workshops, or meetings.
Late cancellations may be billed in full.

9. Intellectual Property

All consulting materials, frameworks, reports, and recommendations are the intellectual property of PranaCare Ltd.
Organizations may use materials internally but may not:
  • Reproduce
  • Distribute
  • Modify
  • Sell
  • Publish
  • Use externally

10. Organizational Safety & Conduct

The organization agrees to:
  • Provide a safe environment for consulting work
  • Ensure respectful conduct from all participants
  • Address harassment or unsafe behaviour immediately
  • Support psychological safety during sessions
PranaCare Ltd may pause or terminate services if safety concerns arise.

11. Termination of Services

Either party may end the consulting relationship at any time.
PranaCare Ltd may terminate services if:
  • Boundaries are violated
  • Safety concerns arise
  • Payment issues occur
  • Ethical concerns emerge
  • Scope changes beyond capacity
Refunds follow the Payment & Refund Policy.

12. Limitations of Liability

PranaCare Ltd provides recommendations based on professional expertise, but the organization is responsible for:
  • Implementation
  • Decision‑making
  • Internal outcomes
  • Organizational changes
PranaCare Ltd is not liable for organizational decisions or results.

13. Consent to Organizational Consulting

By engaging PranaCare Ltd, the organization acknowledges that:
  • It understands the nature and limits of consulting
  • It understands confidentiality boundaries
  • It agrees to the responsibilities outlined above
  • It consents to participate in consulting services

I CONSENT TO RECEIVE COACHING SERVICES  For myself and/or my dependent(s)
I/We have read and understood the PranaCare Ltd Coaching Agreement, including the nature of coaching, the limits of confidentiality, the distinction between coaching and counselling, and the ethical commitments aligned with the International Coaching Federation (ICF).
I/We have had the opportunity to ask questions and discuss any concerns with Nimir Raval, ACC‑Certified Coach, and understand that coaching is a voluntary, collaborative process focused on growth, clarity, and development.
I/We understand that coaching is not therapy, not counselling, not crisis support, and not a substitute for medical, legal, or financial advice.
I acknowledge that all decisions made during or after coaching sessions are my own responsibility, and PranaCare Ltd is not liable for personal, relational, professional, or organizational outcomes resulting from coaching conversations.
I/We understand that I/we may withdraw consent at any time, discontinue coaching at any time, and request clarification about the coaching process whenever needed.
By signing or submitting this form, I/we voluntarily consent to participate in coaching services provided by PranaCare Ltd.
