Coaching Service Agreement
COACHING AGREEMENT — PranaCare Ltd
Aligned with the International Coaching Federation (ICF) Code of Ethics Edmonton, Alberta, Canada
1. Purpose of This Agreement
This Coaching Agreement outlines the expectations, boundaries, responsibilities, and ethical commitments between you (“the Client”) and PranaCare Ltd (“the Coach”).
It ensures clarity, safety, professionalism, and alignment with the International Coaching Federation (ICF) Code of Ethics, including standards for ACC‑credentialed coaches.
By engaging in coaching, you agree to the terms below.
2. Nature of Coaching
Coaching at PranaCare Ltd is:
- Growth‑oriented
- Future‑focused
- Strength‑based
- Collaborative
- Non‑judgmental
- Trauma‑informed
- Culturally intelligent
Coaching may include:
- Leadership development
- Identity and values alignment
- Relationship and communication skills
- Emotional steadiness
- Decision‑making clarity
- Organizational role navigation
- Personal growth and self‑awareness
Coaching is NOT:
- Therapy
- Counselling
- Crisis intervention
- Medical or psychiatric treatment
- Legal advice
- Financial advice
- Mediation
- Consulting (unless explicitly contracted)
Coaching does not diagnose, treat, or manage mental‑health conditions.
3. Roles & Responsibilities
Coach Responsibilities (Aligned with ICF Standards)
The Coach agrees to:
- Maintain strict confidentiality within legal limits
- Uphold the ICF Code of Ethics
- Maintain professional boundaries
- Provide a safe, respectful, culturally intelligent environment
- Support the Client’s autonomy and decision‑making
- Avoid imposing personal opinions or agendas
- Refrain from diagnosing or treating mental‑health conditions
- Refer the Client to appropriate professionals when needed
- Maintain ACC‑level ethical and professional standards
Client Responsibilities
The Client agrees to:
- Attend sessions on time
- Engage actively and honestly
- Communicate needs and concerns
- Take responsibility for decisions and actions
- Practice agreed‑upon strategies
- Respect boundaries and policies
- Seek appropriate professional support when needed
4. Confidentiality
Coaching conversations are confidential.
However, coaching confidentiality is not the same as counselling confidentiality and follows ICF ethical guidelines.
Confidentiality applies to:
- Session content
- Notes (if any)
- Personal information
- Goals and intentions
- Coaching materials
Confidentiality does NOT apply when:
- There is intent to harm self
- There is intent to harm others
- There is abuse or neglect of a child or vulnerable person
- There is ongoing or planned criminal activity
- A court order or legal requirement mandates disclosure
- Professional consultation is required (non‑identifying information only)
5. Coaching vs Counselling
It is essential to understand the difference:
Coaching
- Future‑focused
- Goal‑oriented
- Performance and growth based
- Does not treat mental‑health conditions
- Does not explore trauma unless within a coaching context
- Does not provide crisis support
Counselling
- Past + present focused
- Emotional healing and processing
- Addresses trauma, mental‑health concerns, and emotional distress
- Has stricter confidentiality laws
- Requires different consent and documentation
If counselling becomes more appropriate, the Coach will discuss referral options.
6. Session Structure
Sessions may include:
- Conversation
- Reflection
- Values exploration
- Somatic grounding (non‑therapeutic)
- Leadership frameworks
- Communication strategies
- Identity alignment work
- Decision‑making tools
Sessions are typically 50–60 minutes, unless otherwise arranged.
7. Fees & Payment
Coaching fees are outlined in the Payment & Refund Policy.
Payment is due at the time of booking unless otherwise arranged.
Packages must be used within the specified time frame.
8. Cancellation Policy
- 24 hours’ notice is required to cancel or reschedule.
- Late cancellations or missed sessions may be billed in full.
- Exceptions may be made for emergencies at our discretion.
9. No Crisis or Emergency Services
Coaching is not appropriate for crisis situations.
If you are in crisis, contact:
- 911
- Local emergency services
- A crisis hotline
- A hospital or urgent care centre
The Coach does not respond to crisis messages via email, text, or social media.
10. Record‑Keeping
Coaching records are minimal and may include:
- Session dates
- Goals
- Progress notes (brief)
Coaching records are not clinical records and are stored separately from counselling records.
11. Termination of Coaching
Either party may end coaching at any time.
The Coach may terminate coaching if:
- Boundaries are violated
- Safety concerns arise
- Coaching is no longer appropriate
- Payment issues occur
- Ethical concerns emerge
Refunds follow the Payment & Refund Policy.
12. Intellectual Property
All coaching materials, frameworks, and tools — including the PRANA Framework — are the intellectual property of PranaCare Ltd.
You may not:
- Copy
- Share
- Distribute
- Modify
- Sell
- Use commercially
without written permission.
13. International Coaching Federation (ICF) Ethics
PranaCare Ltd adheres to the ICF Code of Ethics, including:
- Professional conduct
- Confidentiality
- Conflict of interest avoidance
- Clear boundaries
- Respect for client autonomy
- Cultural intelligence
- Integrity and professionalism
You may request a copy of the ICF Code of Ethics at any time.
14. Consent to Coaching
By engaging in coaching with PranaCare Ltd, you acknowledge that:
- You understand the nature and limits of coaching
- You understand the difference between coaching and counselling
- You understand the limits of confidentiality
- You agree to the policies outlined above
- You consent to participate voluntarily

I CONSENT TO RECEIVE COACHING SERVICES For myself and/or my dependent(s)
I/We have read and understood the PranaCare Ltd Coaching Agreement, including the nature of coaching, the limits of confidentiality, the distinction between coaching and counselling, and the ethical commitments aligned with the International Coaching Federation (ICF).
I/We have had the opportunity to ask questions and discuss any concerns with Nimir Raval, ACC‑Certified Coach, and understand that coaching is a voluntary, collaborative process focused on growth, clarity, and development.
I/We understand that coaching is not therapy, not counselling, not crisis support, and not a substitute for medical, legal, or financial advice.
I acknowledge that all decisions made during or after coaching sessions are my own responsibility, and PranaCare Ltd is not liable for personal, relational, professional, or organizational outcomes resulting from coaching conversations.
I/We understand that I/we may withdraw consent at any time, discontinue coaching at any time, and request clarification about the coaching process whenever needed.
By signing or submitting this form, I/we voluntarily consent to participate in coaching services provided by PranaCare Ltd.
